(General Terms, Payment, Scheduling & Guarantee)

Scope & Agreements
Leaders for Learning LLC (“L4L,” “we,” “us”) provides professional learning, leadership coaching, consulting, audits, workshops, and related services to K–12 systems across the United States. Engagement specifics (scope, dates, deliverables, participants, travel) will appear in your proposal, order, or statement of work (“SOW”). If these Terms conflict with a mutually signed SOW, the SOW controls for that engagement.

Fees, Invoices & Payment

Deposit: A 50% non-refundable deposit reserves dates and begins work.

Final Payment Trigger: Unless your SOW states otherwise, the remaining 50% becomes due on the earlier of: (a) the date of the final scheduled session or service delivery; or (b) the end of the applicable Booking Window (see §4), even if one or more sessions remain unscheduled and are deemed fulfilled. The client remains responsible for full payment.

Methods: Card, ACH, PayPal, or other methods listed on your invoice (include the invoice number on all payments).

Processing / Surcharges: If we ever pass through a card processing surcharge, we will disclose it before checkout, never apply it to debit or prepaid cards, and cap it to our actual cost of acceptance and applicable card-network limits and law.

Late Amounts: 7-day grace after the due date; then finance charges at the lesser of 1.5% per month or the maximum permitted by law until paid. We may pause services for past-due accounts. You agree to reasonable collection costs and attorneys’ fees as permitted by law.

Taxes & Expenses: Prices exclude taxes; client pays applicable sales/use taxes (we pay our own income taxes). Pre-approved out-of-pocket expenses (e.g., travel) are billed at cost.

No Setoff: Payments may not be withheld or set off against other claims.

Refunds
All payments are nonrefundable (deposits reserve dates and capacity), except where required by law or expressly stated in your SOW. If we must reschedule due to an internal conflict, we will offer an alternate date at no additional fee. In force-majeure events, both parties will work in good faith on a reasonable solution.

Scheduling, Booking Window, and Calendar Invite Terms
Authoritative Record: All sessions and appointments are scheduled through a calendar invite sent by L4L. The L4L-issued invite is the authoritative record of date, start/end time, time zone, location (onsite) or access link (virtual), and any updates or changes.

Rescheduling or Updates (Do Not Edit the Invite): Do not edit the calendar invite directly. To reschedule or request an update, use the reschedule link in the invite (if provided) or email support@leaders4learning.com. A change is effective only when L4L issues an updated calendar invite. Attendee-side edits are non-binding.

Notice Windows:

Virtual sessions: request to reschedule at least 24 hours in advance.

Onsite sessions: request to reschedule at least 5 business days in advance.

No-show or late arrival greater than 15 minutes is treated as delivered.

One courtesy reschedule is available for documented emergencies.

Global Booking Window Rule: Each program has a finite “Booking Window” during which all included sessions must be scheduled and delivered. The Booking Window equals the Program Term stated in the order/SOW (for example, 3 months for 90-day programs; 12 months for year-long programs). Any session not scheduled and delivered by the end of the applicable Booking Window is deemed fulfilled, non-refundable, and billable. The client remains responsible for full payment under $2.

Program-Specific Booking Windows (scheduling only).

Program Audit (complimentary, virtual 30 minutes): Reschedule ≥ 24 hours prior; no-show forfeits the session. If a $100 credit toward a Leadership Strategy Session is offered, it must be booked within 7 days of the audit.

90-Day Jumpstart: Booking Window = 3 months from the confirmed start date; virtual reschedule ≥ 24 hours; onsite reschedule ≥ 5 business days; unscheduled sessions at the 3-month mark are deemed fulfilled.

The ConnectEd Accelerator: Booking Window = 3 months from the confirmed start date; onsite reschedule ≥ 5 business days; unscheduled sessions at the 3-month mark are deemed fulfilled.

Reflect & Evolve Partnership: Booking Window = 12 months from the confirmed start date; onsite reschedule ≥ 5 business days; any visit/session not scheduled by the 12-month mark is deemed fulfilled.

Technology & Conduct (virtual). Clients are responsible for stable internet and platform access (e.g., Zoom/Teams). Client-side tech issues that prevent participation are treated as no-shows under the rules above. L4L may remove disruptive participants; if disruption prevents delivery, the session may be deemed delivered.

Travel (onsite). For onsite work outside our local area, travel is billed at IRS/GSA actuals (mileage, lodging, meals, reasonable travel time) unless your SOW includes a travel allowance.

Implementation Support Guarantee (Remedial Support)
If your team fully implements agreed strategies and submits required documentation within 30 days after your final session, we provide—at no additional fee: one 60-minute virtual coaching/consultation (scheduled within 45 days of documentation approval), plus review/feedback on submitted evidence and customized recommendations.
Conditions. Timely documentation; substantial adherence to program guidelines/timelines; applies only to L4L-delivered services; non-transferable.
Limits. Additional support beyond the session may be contracted separately. This is a support commitment, not a warranty of outcomes, and is your sole remedy under the guarantee.

Intellectual Property
Unless an SOW says otherwise, L4L retains ownership of all materials and tools; we grant your organization a non-exclusive, non-transferable license for internal professional learning. Redistribution, public posting, or resale is prohibited without written permission.

Confidentiality & Student Data
We do not request student PII. If you share confidential information, you represent you have authority to do so and will provide any required notices/consents. Each party will protect the other’s non-public information and use it solely to perform the engagement.

Disputes (Invoices & Services)
Invoice questions must be emailed to payments@leaders4learning.com within 7 days of receipt; we will review in good faith. Before litigation, the parties will attempt informal resolution; if unresolved after 30 days, they will participate in non-binding mediation in Maryland.
